Terms of Service

Early access note: Matriq is currently available to design partners and early-access customers. During this period the Service is provided free of charge. These terms govern that use; they will be updated (and you will be notified) when paid tiers launch.

These Terms of Service (the "Terms") are a binding agreement between you (or the organisation you represent, "you") and Matriq ("Matriq", "we", "us"). By creating an account, accessing the Service, or clicking "I agree", you accept these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

1. The Service

The "Service" means the Matriq website, product, software, and related services. We may modify, suspend, or discontinue features at any time during early access, with reasonable notice where practical.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at security@matriq.ai of any suspected unauthorised access.

3. Customer data

You retain all rights in the data you provide or that Matriq accesses on your behalf ("Customer Data"). You grant Matriq a limited, worldwide licence to process Customer Data solely to provide, secure, and improve the Service. Matriq does not use Customer Data to train machine-learning models. Additional processing terms are described in our Data Processing Addendum and Privacy Policy.

Matriq and its licensors retain all right, title, and interest in and to the Service, including all software, models, interfaces, and documentation, and all intellectual property rights therein. These Terms do not grant you any rights in the Service other than the limited right to use it as described herein.

6. Fees

During the early-access period, use of the Service is free. We will provide at least 30 days' notice before any paid tiers apply to your account and will require affirmative consent before charging any fees.

7. Confidentiality

Each party agrees to protect the other's non-public information disclosed in connection with the Service using at least reasonable care and to use such information only to exercise rights and perform obligations under these Terms.

8. Warranties and disclaimers

Each party represents that it has the authority to enter these Terms. Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete, or suitable for any particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service. Each party's aggregate liability for direct damages is limited to the greater of (a) the fees paid or payable to Matriq in the 12 months preceding the claim, or (b) INR 10,000 during the early-access free period. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You will defend and indemnify Matriq against third-party claims arising from your Customer Data or your breach of these Terms. Matriq will defend and indemnify you against third-party claims that the Service, as provided by Matriq and used in accordance with these Terms, infringes a third party's intellectual property rights, subject to customary limitations.

11. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate at any time on notice. On termination, your right to use the Service ends. We will delete or return your Customer Data in accordance with our Privacy Policy. Sections that by their nature should survive (including IP, disclaimers, limitations of liability, and governing law) will survive termination.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Disputes arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Bengaluru, India, and the parties consent to the jurisdiction of such courts.

13. Changes

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or in-product. Your continued use of the Service after changes take effect constitutes acceptance.
